Terms
Terms of use
The rules that apply when you use SquareSync. Where a signed agreement exists, it governs.
Agreement
These terms apply to your use of the SquareSync platform and this website. "We" and "SquareSync" mean Square Sync Inc., an Ontario corporation.
Where a condominium corporation or a management company has signed a subscription or master services agreement with us, that agreement governs the service, and these terms apply only to the extent they are not inconsistent with it. If you are using the platform as a user under such an agreement, these terms describe your responsibilities as a user.
By creating an account or using the platform, you accept these terms.
Accounts
- Accounts are issued by a corporation or its management company. You may not create an account for a corporation you are not entitled to access.
- You are responsible for keeping your credentials confidential and for activity under your account. Where multi-factor authentication is required for your role, you must enrol.
- Tell us or your manager immediately if you believe an account has been compromised.
- Accounts are personal. Do not share credentials, and do not use another person's account.
Corporation data
Records belonging to a condominium corporation belong to that corporation. We claim no ownership of them, and a management company's access to them exists only through the operator grant the corporation gives it and can revoke.
The corporation may export its data at any time, without our assistance and without the consent of any operator, including documents, structured records and the audit log.
We process corporation data only to provide the service, to meet a legal obligation, or on the corporation's documented instruction. We do not sell it, mine it for our own purposes, or use it to train machine-learning models.
You are responsible for the accuracy and lawfulness of what you upload, including having the right to share any personal information you enter.
Acceptable use
You may not:
- Access or attempt to access data belonging to a corporation you are not authorised for.
- Probe, scan or test the security of the platform except under our responsible disclosure process.
- Upload malicious code, or content that is unlawful, defamatory or infringing.
- Use the platform to send unsolicited commercial email, or to deliver notices you are not entitled to send.
- Reverse engineer, resell, or make the platform available to a third party outside your agreement.
- Interfere with the service or place an unreasonable load on it.
We may suspend access where use of the platform threatens its security, its availability, or another customer's data. Where we do, we will tell the affected corporation as soon as practicable.
Availability and support
We aim to keep the service continuously available and will publish incidents and maintenance. Planned maintenance is notified in advance. Where a signed agreement sets a service level, that agreement governs; these terms do not create one.
Changes that affect permissions, notifications or approval behaviour are announced to customers at least five business days before they take effect.
Fees
Fees, minimums and billing terms are set in the order form or subscription agreement. Published pricing is per unit under management, in Canadian dollars, exclusive of applicable taxes. Billing for a corporation is prorated from the day it goes live.
What SquareSync is not
SquareSync is a record-keeping and workflow platform. It is not a general ledger, and it does not provide accounting, legal, engineering or insurance advice.
The platform supports a corporation in meeting its obligations under the Condominium Act, 1998 and related legislation. It does not make a corporation compliant, and it is not a substitute for advice from the corporation's own counsel, auditor or engineer. Decisions taken using the platform remain the decisions of the corporation and its board.
Intellectual property
The platform, the software, and the SquareSync name and marks are ours. Nothing in these terms transfers any right in them to you beyond the right to use the service during your subscription. Your content remains yours.
Third-party services
The platform integrates with services operated by others, including Microsoft 365 and accounting software. Your use of those services is governed by their own terms, and we are not responsible for their availability or acts.
Warranties and liability
We provide the service with reasonable skill and care. Except as expressly stated in a signed agreement, the service is provided without other warranties, to the extent the law allows.
Neither party is liable for indirect or consequential loss. Our aggregate liability is limited as set out in the applicable subscription agreement; where none applies, it is limited to the fees paid for the service in the twelve months before the claim.
Nothing here limits liability that cannot be limited by law.
Termination
A subscription may be terminated as set out in the applicable agreement. On termination, the corporation may export its data during the transition window, after which we delete it as described in the privacy policy.
The corporation's ability to retrieve its own records does not depend on its management company's cooperation.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. The courts of Ontario have jurisdiction.
